Terms of Service
This Terms of Service Agreement (the “Agreement”) sets forth the terms and conditions on which the Client (the “Client”) has engaged Digilutions Limited (trading as “Digilutions”) to perform certain content creation and digital marketing services (the “Services”) as outlined herein. This is a legally binding agreement between the Client and Digilutions. By becoming a Digilutions client, the Client agrees to be legally bound by the terms and conditions set forth in this Agreement. The “Effective Date” of this Agreement shall be the date on which the Client submits their order for Services to Digilutions.
1. SERVICES
Digilutions will provide Services to the Client as detailed on our website (www.digilutions.com). These Services include, but are not limited to, monthly social media content creation, on-location content shoots, branding, and website design services.
2. OUR OBLIGATIONS
2.1 Digilutions will deliver the Services to the Client in accordance with our standard practices and quality standards. We reserve the right to refuse any Client at our sole discretion. We shall be responsible for all aspects of providing the Services.
2.2 All Digilutions policies regarding privacy, pricing, customer service, and operational procedures will apply. These policies may be updated periodically at our sole discretion. In certain cases, Clients may be eligible to remain on a previous version of a service package, subject to our approval.
3. FEES AND PAYMENT
3.1 All fees for the Services are due and payable in full in advance on a monthly basis. A valid credit or debit card will be securely stored on file to cover recurring charges.
3.2 Initial fees are payable before Services commence. Subsequent charges will occur on the monthly renewal date. If a payment is not received by the due date, Services may be suspended until full payment is made. Suspension for non-payment does not result in proration of fees.
3.3 Services commence on the date the Client completes their first payment. If onboarding is delayed on our part, we will adjust the billing date accordingly to ensure the Client receives a full month of service.
3.4 Refund Policy – Refunds are available only within the first 14 days of the initial order (the “14-Day Money-Back Guarantee”), provided that any content produced is removed from the Client’s social media profiles. No refunds will be issued for any additional services or content produced beyond this period.
3.5 Cancellation Policy – The Client may cancel or adjust their subscription by notifying Digilutions via email at hello@digilutions.co.uk at least 14 days before the next renewal date. Cancellation requests received within 14 days of renewal will incur charges for any content already scheduled. There are no prorated refunds; however, Services will continue through the end of the current billing cycle upon cancellation.
3.6 Back-Payments – If Services continue after the payment due date due to the Client not canceling, accrued charges will be collected without interest. Digilutions will maintain records of all communications and Services rendered to justify any back-payments due.
4. SERVICE INFORMATION
4.1 Third-Party Software:
Digilutions utilises third-party tools—including a Content Scheduler and Client Portal—to schedule and publish social media posts and manage client interactions. Digilutions is not responsible for issues arising solely from these third-party platforms.
4.2 Social Profile Connectivity:
If any issues occur connecting your social media profiles, you will be promptly notified. It remains the Client’s responsibility to resolve any disconnections to ensure timely publication of content.
4.3 Security of Login Credentials:
Clients must securely connect their social media profiles via our Client Portal. Any changes to login details must be communicated immediately to hello@digilutions.co.uk to prevent service interruptions.
4.4 Content Review:
Digilutions will notify Clients at least 72 hours before scheduled posts are published, giving ample time for review and revision requests through the Client Portal. Clients are responsible for accessing the portal at least once every two weeks and providing any necessary feedback.
4.5 Additional Content Requests:
For any specific promotions or urgent content needs, Clients must provide at least 10 days’ notice to allow adequate time for creation and scheduling. Urgent content may be self-published through the Client Portal if necessary.
4.6 Revision Requests:
Unlimited revisions are included. Clients can request changes via their portal, provided that requests are submitted with at least 48 hours’ notice to allow us sufficient time to make adjustments.
4.7 Profile Creation:
If a Client requires the creation of new social media profiles, Digilutions will provide this service for an additional one-off fee. Please note that the 14-Day Money-Back Guarantee does not apply to newly created profiles.
4.8 Use of Third-Party Tools:
All Services may rely on third-party software. Digilutions is not liable for any issues, such as profile disconnections or software downtime, arising from these platforms. Clients will be notified immediately if issues occur, and Digilutions will reschedule posts as soon as connectivity is restored.
5. WARRANTY DISCLAIMERS
Digilutions expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Services are provided “as is” and “as available,” and Digilutions does not guarantee uninterrupted or error‑free service.
6. INDEMNITY
6.1 The Client agrees to indemnify and hold harmless Digilutions, its directors, employees, and agents from any claims, losses, or damages arising from any breach of this Agreement or the use of our Services.
6.2 The Client assumes full responsibility for any content posted on their social media profiles, including any claims of copyright or trademark infringement.
7. LIMITATION OF LIABILITY
Under no circumstances shall Digilutions be liable for any indirect, incidental, consequential, or special damages arising from this Agreement. Digilutions’ total liability for any claims shall not exceed the amount paid by the Client in the previous one (1) month of service.
8. MODIFICATION AND GOVERNING LAW
8.1 This Agreement constitutes the entire agreement between the parties and may be amended at the sole discretion of Digilutions. The most current version will always be available on our website, and notice of changes will be provided via email.
8.2 This Agreement shall be governed by and interpreted in accordance with the laws of the United Kingdom. Any disputes shall be resolved in the courts of the United Kingdom.
8.3 If any provision of this Agreement is found to be unenforceable, it shall be severed, and the remaining provisions shall remain in full force and effect.
